COMPLIANCE WITH MARKET DISCLOSURE REQUIREMENTS NOTICE UNDER ART. 84 OF CONSOB RESOLUTION

Milan, 2 August 2013. Prysmian informs that is available to the public, from Prysmian S.p.A. registered office (Viale Sarca 222 – 20126 Milan), from Borsa Italiana S.p.A. and on the Company's website at You are not allowed to view links. Register or Login, the Half Year Report as of June 30th, 2013, as approved by the Board of Directors on August 1st, 2013, together with the reports of the Independent Auditor.

Furthermore, notice is given that, pursuant to articles 2505, par. 3, and 2506-ter, par. 5, of the Italian Civil Code, the demerger plan in favour of Prysmian S.p.A. of part of the assets of Fibre Ottiche Sud – F.O.S. S.r.l., company subject to the management and coordination of Prysmian S.p.A., and by the latter wholly owned directly, has been filed with the Company Register of Milan today.

According with the Prysmian S.p.A.'s by-laws, the resolution upon the demerger plan will be approved by the Board of Directors of Prysmian S.p.A..

The documentation describing the abovementioned demerger plan, the relevant financial statements under art. 2506-ter of the Italian Civil Code of the companies involved, and the administrative body's report under art. 70, par. 2, of Consob Resolution no. 11971/1991, are available on the website of Borsa Italiana S.p.A.
